If you do not agree to these terms, you must not use our website.

WGI reserves the right to update or modify these Terms of Use at any time without prior notice. Your continued use of the website following the posting of revised terms means that you accept and agree to the changes.

 

3. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use our website. By using the website, you represent and warrant that you meet this requirement.

 

4. Use of the Website

You agree to use the website only for lawful purposes and in accordance with these Terms of Use. You may not use the website:

• In any way that violates any applicable law or regulation.

• To exploit, harm, or attempt to exploit or harm others.

• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.

• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the website.

WGI reserves the right to suspend or terminate access to the website for any reason, including violation of these terms.

 

5. Intellectual Property Rights

All content, features, and functionality on the website, including text, graphics, logos, icons, and software, are owned by WGI or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the website without our prior written consent.

 

6. User Content

If you submit or post any content to the website, including suggestions, feedback, or other materials ("User Content"), you grant WGI a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and distribute such content.

You represent that you own or control all rights in and to your User Content and that its use does not violate any rights of third parties.

 

7. Third-Party Logins and Services

Our platform may allow you to log in or register using third-party authentication providers such as Google or LinkedIn. By using these services, you agree to the respective terms and policies of those providers. WGI is not responsible for the privacy practices, data accuracy, or security of these third-party platforms.

You are responsible for maintaining the confidentiality of your third-party account credentials. We reserve the right to revoke access if misuse is suspected.

 

8. Accredited Investor and Fundraising Declarations

Users who identify as accredited investors or fundraising entities represent and warrant that they are doing so in compliance with applicable securities laws. WGI is a neutral technology platform and does not provide investment advice, solicit securities offerings, or act as a broker-dealer.

The communication features on WGI are limited to users who have explicitly opted in and are considered private, peer-to-peer interactions. WGI does not promote any securities offerings to the public. All users are responsible for ensuring their activity on the platform complies with relevant legal requirements, including Regulation D, Rule 506(b) and 506(c), or local equivalents.

A self-certification form is required prior to participating in any fundraising or investment visibility features and is available during the onboarding process.

 

9. GIA Text Messaging Program

White Glove Intelligence offers a text messaging program that lets registered users communicate with GIA, our AI research assistant, by SMS.

How to opt in. You can opt in in either of two ways: by entering your mobile number and checking the consent box on our text messaging sign-up page at https://wgi.ai/sms, or by entering your mobile number in your account settings, checking the consent box, and confirming the number with a one-time code. Consent to receive text messages is not a condition of using our services.

What you will receive. Once enrolled, you may receive replies to your questions, notifications when requested research or reports are ready, and messages about your account. Message frequency varies. Message and data rates may apply.

How to opt out or get help. Reply STOP at any time to cancel; you will receive one final message confirming that you have been unsubscribed. Reply HELP for help, or contact info@wgi.ai. Reply START to re-enroll after opting out.

Carriers. Carriers are not liable for delayed or undelivered messages.

Nature of messages. Messages from GIA are generated by an AI system for informational purposes only and are not investment advice.

Privacy. Our collection and use of your mobile number is described in our Privacy Policy at https://wgi.ai/privacy. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes.

 

10. Disclaimer of Warranties

The website is provided on an "as is" and "as available" basis. WGI makes no warranties or representations of any kind regarding the website, its content, or any services provided through it. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

11. Limitation of Liability

To the fullest extent permitted by law, WGI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the website or its content.

 

12. Indemnification

You agree to defend, indemnify, and hold harmless WGI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses arising out of or related to your violation of these Terms of Use or your use of the website.

 

13. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree that any dispute arising under or related in any way to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
